Biography

Gwyneth A. Campbell is Senior Counsel to Chapoton Sanders Scarborough LLP, specializing in corporate and transactional work both domestically and internationally. She has extensive experience as an outside General Counsel to international clients, representing their needs from selection of business entity, strategic alliances, corporate counseling and compliance, contract negotiations, employment matters, acquisitions and divestitures, through restructuring and workouts.

Notable representations include external general counsel representation for select clients; negotiation and preparation of asset purchase agreements; documentation of intercompany divestitures; negotiation of a main contract and consortium agreement for an industrial construction project on behalf of French and Malaysian affiliates; assistance to lenders and venture capital funds in the protection and enforcement of rights to collateral and in negotiation and drafting of consensual plans of reorganization; advice to joint ventures on structuring bankruptcy-remote entities; non-consolidation opinions; representation of banks in drafting secured and unsecured credit agreements; and general bankruptcy and collection advice to manufacturers.

Gwyneth began her career with McCutchen, Black in Los Angeles, which merged into Baker & Hostetler LLP. She joined the Creditors' Rights and Bankruptcy Section of the Corporate Department of Paul, Hastings, Janofsky & Walker, LLP in January 1993 and practiced there until the end of 1997, when she returned to Houston and began representation of a privately held group of companies as its external General Counsel. She joined the Corporate and Transactional practice of Welsh Chapoton LLP in 2008 and moved her practice to Chapoton Sanders Scarborough LLP in February 2013.
